    Responsibilities:

    • Manage corporate subsidiaries, including preparing minutes; creating and maintaining corporate minute books; preparing, processing and maintaining regulatory filings (i.e. state qualification filings); and maintaining web-based corporate records database.
    • Coordinate with corporate services companies on various corporate matters (including establishing new legal entities, establishing banking accounts, drafting powers of attorney, obtaining good standing certificates, registering for foreign qualifications, etc.)
    • Support the activities of the Board of Directors of the company and its affiliated companies.
    • Support corporate transactions with the preparation of documents necessary to comply with federal, state and local regulations relating to governance and the maintenance of the corporate form, including corporations, joint ventures, LLCs and similar entity types.
    • Assist in mergers, acquisitions and other strategic transactions, including due diligence, transaction management and integration planning in coordination with corporate development professionals and outside advisors.
    • Support other legal, privacy, compliance and risk management professionals as needed, including gathering information for trademark, copyright and patent filings, preparing PowerPoint presentations, spreadsheets and other materials and communications, risk management tracking, policy and process communications, litigation hold notices, legal operations processes, and other matters.
    • Consistently ensure that business is conducted with integrity at-all-times and that behavior aligns with iCIMS policies, procedures, and core competencies.

    Qualifications:

    • Bachelor’s degree or equivalent experience required
    • A minimum of 5 year of corporate Paralegal experience required.
    • Exceptional verbal and written communication skills.
    • A self-starter with the demonstrated ability to take initiative, who can proactively identify issues/opportunities and recommend actions
    • Strong customer service orientation
    • Demonstrated ability to multitask and prioritize in a constantly changing and fast paced environment
    • Demonstrated commitment to client service
    • Outstanding follow-up, organization and planning skills
    • Ability to work independently, often without detailed instructions
    • Advanced MS Office Suite Skills
    • Ability to work in a team atmosphere
    • Previous experience working for a software or technology company a plus
    • Strong results orientation
    • Ability and willingness to work in the Holmdel, New Jersey headquarters
